Article 1 (Application)

These Terms set forth the conditions for use of the Service and apply to all relationships between the User and the Company regarding use of the Service.

Article 2 (Definitions)

"Service" refers to the real estate tokenization platform provided by the Company (including issuance, trading, and management of RE-NFTs, accommodation booking, and revenue distribution). "User" refers to all persons who use the Service. "RE-NFT" refers to an ERC-721 compliant Non-Fungible Token backed by real estate.

Article 3 (User Registration)

Users shall apply for registration through the method prescribed by the Company, and registration is completed upon the Company's approval. Users are obligated to provide true and accurate information upon registration. The Company may refuse registration in the following cases: (1) if false information is included, (2) if previously suspended for Terms violations, (3) if otherwise deemed inappropriate by the Company.

Article 4 (Purchase of RE-NFTs)

RE-NFTs are purchased using USDC or other payment methods designated by the Company. Upon completion of purchase, the User becomes the holder of the relevant RE-NFT. RE-NFT prices are set by the Company per property and are subject to change. Cancellations and refunds after purchase are generally not accepted.

Article 5 (AKP - ATLASKEY Point)

RE-NFT holders receive AKP (ATLASKEY Point) daily. AKP can be used for accommodation bookings within the Service, and AKP earned from any property can be used to book any property. AKP is valid for two seasons (approximately 8 months), and expired AKP is used in revenue distribution calculations. AKP accrual rates vary by property.

Article 6 (Revenue Distribution)

The Company distributes revenue earned from properties (operating income and sale proceeds) to RE-NFT holders in USDC. Operating income (e.g., rental income) is allocated in proportion to the AKP that expired unused in each period. Property sale proceeds are distributed equally based on the number of RE-NFTs held. Distributions are made on a period basis of approximately four months. Distribution amounts vary depending on property performance and are not guaranteed.

Article 7 (Prohibited Actions)

Users shall not engage in the following actions: (1) actions that violate laws or public morals, (2) actions related to criminal activity, (3) actions that place excessive load on the Company's servers, (4) actions that interfere with the operation of the Service, (5) unauthorized acquisition of other users' information, (6) actions constituting money laundering.

Article 8 (Disclaimer)

The Company shall not be liable for any damages incurred by Users arising from the Service, except in cases of intentional misconduct or gross negligence by the Company. The same applies to damages caused by blockchain network failures, smart contract bugs, cryptocurrency price fluctuations, and similar events.

Article 9 (Changes to Terms)

The Company may change these Terms as necessary. Revised Terms take effect from the time they are announced on the Service.

Article 10 (Governing Law & Jurisdiction)

These Terms shall be governed by and construed in accordance with the laws of Japan. In the event of any dispute arising in connection with the Service, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance.
